Xiangnuo Tech provides professional services in the field of computer systems design and related services within the Professional, Scientific, and Technical Services sector. Our services include, but are not limited to:

  • Cloud infrastructure planning, migration, and management
  • Cybersecurity assessment, architecture, and implementation
  • Data analytics, business intelligence, and AI solutions
  • Technology consulting and strategic advisory
  • IT support, maintenance, and managed services

The specific scope, deliverables, timelines, and fees for any engagement will be detailed in a separate Service Agreement or Statement of Work executed by both parties.

3. Use of the Website

You agree to use our Site only for lawful purposes and in a manner that does not infringe upon the rights of others. Prohibited activities include, but are not limited to:

Both parties agree to maintain the confidentiality of all non-public information disclosed during the course of the business relationship. "Confidential Information" includes, but is not limited to, business plans, technical data, customer information, financial information, trade secrets, and any proprietary information marked as confidential or which a reasonable person would understand to be confidential.

This confidentiality obligation shall survive the termination of any Service Agreement and continue for a period of five (5) years from the date of disclosure.

6. Client Responsibilities

As a client of Xiangnuo Tech, you agree to:

  • Provide accurate, complete, and timely information necessary for the performance of our services.
  • Designate a point of contact authorized to make decisions on your behalf.
  • Make available any resources, access, or cooperation reasonably required for us to deliver our services.
  • Review and provide feedback on deliverables within agreed-upon timeframes.
  • Adhere to payment terms as specified in the Service Agreement.

Failure to meet these responsibilities may result in project delays and additional costs, for which Xiangnuo Tech shall not be liable.

7. Fees and Payment

Fees for services will be outlined in the applicable Service Agreement or Statement of Work. Unless otherwise agreed in writing:

  • Invoices are due within thirty (30) days of the invoice date.
  • Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
  • All fees are exclusive of applicable taxes, which will be added to invoices as required by law.
  • We reserve the right to suspend services for accounts that are overdue by more than thirty (30) days.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Xiangnuo Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the use of our Site or services, including but not limited to loss of profits, data, business interruption, or loss of business opportunity, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from these Terms or our services shall not exceed the total fees paid by you for the specific service giving rise to the claim during the twelve (12) months preceding the event giving rise to the liability.

9. Indemnification

You agree to indemnify, defend, and hold harmless Xiangnuo Tech, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of our Site or services in violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Your infringement of any third-party intellectual property or other rights.
  • Any content or information you provide to us that is inaccurate, misleading, or infringing.

10. Warranties and Disclaimers

Our services are provided on an "as is" and "as available" basis. We make reasonable efforts to deliver services in a professional and workmanlike manner, but we expressly disclaim all warranties, whether express, implied, or statutory, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Warranties that our services will be error-free, uninterrupted, or meet your specific requirements.
  • Warranties regarding the accuracy, reliability, or completeness of any information provided.

No advice or information obtained from us, whether oral or written, shall create any warranty not expressly stated in these Terms.

11. Termination

Either party may terminate a Service Agreement:

  • For Convenience: With thirty (30) days' written notice to the other party.
  • For Cause: Immediately upon written notice if the other party materially breaches any term of the Agreement and fails to cure such breach within fifteen (15) days of receiving written notice.

Upon termination, you shall pay all fees due for services rendered up to the effective date of termination. Sections regarding confidentiality, intellectual property, limitation of liability, and indemnification shall survive termination.

12. Force Majeure

Neither party shall be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, governmental actions, pandemics, labor disputes, supply chain disruptions, or failure of telecommunications or internet infrastructure. The affected party shall provide prompt notice of such circumstances and resume performance as soon as reasonably possible.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiations between the parties. If negotiation fails, the dispute shall be submitted to binding arbitration in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC).

14. Entire Agreement

These Terms, together with any applicable Service Agreement, Statement of Work, or other written agreements executed by both parties, constitute the entire agreement between you and Xiangnuo Tech regarding the subject matter hereof, superseding all prior agreements, understandings, negotiations, and discussions, whether written or oral.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent to the greatest extent possible.

16. Waiver

No failure or delay by either party in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof. A waiver of any breach or default shall not constitute a waiver of any subsequent breach or default.
